The organization will more than likely need to be registered with a state (MA?) This should be referenced in the first paragraph.

Article 2 - The last item could be combined with the 2md item in Atricle 3

Article 3 - In the 3rd item, change to "open meetings" The Board my wish, need to have periodic meetings during the year and they should have the flexibility to have with or without the membership. As an example, CT requires all registered non-profits to have quarterly Board meetings.

Article 4 - Building on the above, a section should be added "Board Meetings: The Board shall meet at least the minimum number of times required by the State (Commonwealth) of Fedral Governemnt regulations. This meeting shall be called by either the Commodore or a written majority of the Board Members. The meeting may be open or closed to the Membership At-Large at the discression of the caller(s).

Article 5 - replace "due-paying member" with "member in good standing"

Article 7 - specify specific begining and completion time of terms of office (i.e. January 1 thru December 31)

I know I helped with the drafting, but I had not seen this version and wished to comment. I hate rainy 3-day weekends.
